Since the percentage passing spec the first time through the crusher is dramatically higher with an impactor primary versus a jaw primary, the secondary impact crusher can be much smaller than a cone secondary. This means not only the initial purchase price but also long term horsepower and fuel requirements are significantly reduced.

Caterpillar, the world’s biggest maker of earthmoving equipment, has strengthened its presence in the mining machinery market by striking an $886m deal to buy ERA Mining Machinery, a Chinese manufacturer of underground coal-mining equipment.

The proposed acquisition builds on Caterpillar’ $7.6bn purchase last year of Bucyrus International, another maker of mining machinery. That deal transformed the company into the world’s biggest supplier of large mining equipment.

Doug Oberhelman, Caterpillar chief executive, has identified the mining industry as a key area of expansion.

Buying ERA would enable Caterpillar to make further inroads into China where coal mine operators tend to prefer local brands over US equipment.

Caterpillar is in a race with rival Joy Global, a US mining-equipment maker, to take market share in China’s mining industry. Joy Global announced plans in July to buy a 41 per cent stake in China’s International Mining Machinery for $585m.

Steve Wunning, Caterpillar group president with responsibility for resource industries, said the ERA deal “underscores Caterpillar’s long-term commitment to continue to invest in China in order to support our growing base of Chinese customers”.

Mr Wunning said Caterpillar hoped both to expand in China through ERA and to use Caterpillar’s global presence to sell the company’s products internationally.

The deal values ERA at up to HK$6.9bn ($886m), a one-third premium on the company’s stock price before trading was halted in Hong Kong on Monday on expectations of the acquisition being announced. The deal is subject to approval by ERA’s shareholders and Chinese regulators.

“This is another indication that CAT is leveraging itself to what we think is a relatively long-dated international mining up-cycle, driven by relatively strong emerging market commodity demand,” wrote analysts at Barclays Capital in a research note. “While we would not be surprised if this announcement generates some investor concern given potential sentiment that mining may be somewhat late in its cycle, we believe that the mining end market is still in the middle innings of growth.”

Citigroup Global Markets Asia advised Caterpillar on the deal, while Blackstone advised ERA.

Hong Kong-listed Chinese coal producer Yanzhou Coal Mining is set to take over Australian coal miner Gloucester Coal for AUD2.1 billion (USD2.13 billion). Under the agreement, Yanzhou Coal’s Australian unit Yancoal Australia will merge with the Australian Securities Exchange (ASX)-listed Gloucester Coal.

Yancoal Australia will acquire the entire issued share capital of Gloucester for which the latter’s shareholders can either choose to receive shares of the new merged entity (Yancoal Australia) or a combination of Yancoal Australia shares and contingent value rights (CVR) shares.

Upon the merger’s completion, Yanzhou Coal will own 77 percent of the merged entity while the Gloucester existing shareholders will own 23 percent of the new company, which will continue to trade in the ASX. Gloucester shareholders will also get AUD3.2 in cash per share in the form of special dividend, payable prior to the effective date of the merger as well as capital return of about AUD2.64 per share payable six months after the merger’s implementation.

The takeover is subject to the approval of Gloucester and Yanzhou shareholders as well as regulatory approvals in Hong Kong, China and Australia.

Singapore-listed Noble Group, currently the controlling shareholder of Gloucester with 64.5 percent equity, has backed the takeover offer. The company said it intends to vote for the proposed merger subject to approval by the Noble board of directors and in the absence of a superior proposal, and would elect to receive all ordinary shares as the consideration not including any CVR shares.

“The cash component will crystallize a significant portion of the value in Gloucester shares, while also allowing Gloucester shareholders to retain an ongoing interest in the combined Gloucester and Yancoal assets,” Noble said in a statement. The commodity supply chain manger intends to hold its shares in the combined entity for value accretion, expecting the merged entity to have significant cash flow generation that should underpin a progressive dividend policy.

The merged group will have 11 operating mines in New South Wales and Queensland in Australia.

Citi, Goldman Sachs and UBS are advising Yanzhou Coal; Lazard is advising Gloucester and the Blackstone Group is advising Noble.
